1) Overview and Acceptance

Welcome to Haru. The terms “we,” “us,” and “our” refer to Haru. We operate this website and storefront, including all information, content, features, tools, products, and services (the “Services”). By viewing, accessing, or using the Services, you agree to be bound by these Terms of Service (the “Terms”) and by our Privacy Policy available at www.myharu.shop/policies/privacy-policy. If you do not agree to these Terms or the Privacy Policy, do not use the Services.

2) Eligibility; Accounts; Accuracy of Information

You represent that you have reached the age of majority in your jurisdiction, or that you are the parent/guardian who consents to a minor’s use on devices you own or control. You may be asked to provide information such as name, billing and shipping address, payment details, and email. You warrant that such information is accurate, current, and complete, and that you have all rights necessary to provide it. You are solely responsible for safeguarding your account credentials and for all activities that occur under your account. You may not sell, transfer, license, or assign your account.

3) Products; Availability; Changes

We strive to describe and display our products accurately; however, device screens and settings can affect colors and appearance. We do not guarantee that the quality or appearance of any product or service will meet your expectations or match images precisely. Product descriptions and pricing may change at any time without notice. We may discontinue any product or limit quantities per person, household, region, or order.

4) Orders; Acceptance; Cancellations

When you place an order, you make an offer to purchase. We may accept or reject any order in our sole discretion. An order is accepted only when we confirm acceptance and process payment. Review your order carefully before checkout; cancellation requests may not be accommodated once an order is accepted. If we do not accept, modify, or cancel an order, we will endeavor to notify you at the email, billing address, or phone provided at checkout. Purchases are subject to our Returns & Refunds Policy at www.myharu.shop/policies/refund-policy. You represent that purchases are for personal or household use and not for resale or commercial export.

5) Prices, Taxes, Billing, and Promotions

Prices, discounts, and promotions may change without prior notice. The price charged is the price in effect at the time of order and will be confirmed in your order email. Unless expressly stated otherwise, posted prices exclude taxes, shipping, handling, customs duties, and import fees. Online prices may differ from prices offered elsewhere. Promotions may be governed by separate terms; if there is a conflict, the promotion terms control. You agree to provide current, complete, and accurate purchase and account information and to promptly update your data so we can complete transactions and contact you as needed. You warrant that the payment method you use is yours, valid, and authorized.

6) Shipping, Delivery, and Risk of Loss

Delivery times are estimates only and are not guaranteed. We are not responsible for carrier delays, customs processing, or events beyond our control. Title and risk of loss transfer to you upon our delivery of goods to the carrier.

7) Intellectual Property

The Services and all content therein—including trademarks, trade dress, text, images, graphics, video, audio, designs, and their selection and arrangement—are owned by Haru, our affiliates, or licensors and are protected by U.S. and international intellectual-property laws. You may use the Services only for personal, non-commercial purposes. Except as expressly permitted in these Terms, you may not copy, reproduce, modify, prepare derivative works from, publicly display, perform, republish, download, store, or transmit any content without our prior written consent. Haru reserves all rights not expressly granted. Shopify names, logos, and related marks are trademarks of Shopify Inc. Other names and marks are the property of their respective owners.

8) Optional Third-Party Tools

We may provide access to tools offered by third parties, provided “as is” and “as available,” without warranties or endorsements. Your use of such tools is at your own risk and subject to the third party’s terms.

9) Third-Party Links and Content

The Services may contain links to third-party websites or embedded functionality. We do not control and are not responsible for third-party content, websites, products, or services. Review third-party policies carefully before transactions or use. Complaints or questions regarding third-party products or services should be directed to the third party.

10) Relationship with Shopify

Haru uses Shopify technology to provide the Services. All sales and purchases through our store are made directly with Haru. By using the Services, you acknowledge and agree that Shopify is not responsible for any aspect of sales between you and Haru, including any injury, damage, or loss arising from products or services purchased. You expressly release Shopify and its affiliates from any claims, damages, and liability arising out of or related to your purchases and transactions with Haru.

11) User Content; Reviews; License

If you submit, upload, post, email, or otherwise transmit any ideas, reviews, suggestions, proposals, plans, photos, or other content (“User Content”), you grant Haru a perpetual, worldwide, sublicensable, transferable, royalty-free license to use, reproduce, modify, publish, distribute, and display such User Content in any media for any lawful purpose, including operating, improving, promoting, and providing the Services. You represent and warrant that you own or control all rights in your User Content; that you have disclosed any incentive or compensation tied to your review; and that your User Content complies with these Terms. We may monitor, edit, or remove User Content we deem unlawful, offensive, threatening, defamatory, pornographic, obscene, infringing, or otherwise objectionable. Do not submit content that violates the rights of others or contains malware or harmful code.

12) Prohibited Uses

You may use the Services only for lawful purposes. You agree not to, directly or indirectly: (a) violate any law or regulation; (b) infringe intellectual-property or privacy rights; (c) harass, abuse, defame, or threaten others; (d) transmit false, misleading, or fraudulent information; (e) upload material that violates these Terms; (f) send spam, chain letters, or other unsolicited messages; (g) impersonate any person or entity; (h) collect or track others’ personal information without consent; (i) upload or transmit viruses or malicious code; (j) scrape, crawl, or spider the Services; (k) interfere with or circumvent security features; or (l) otherwise engage in conduct that restricts or inhibits any person’s use or enjoyment of the Services. We may suspend or terminate access, without notice, for any violation.

13) Errors, Inaccuracies, and Omissions

Information on the Services may contain typographical errors, inaccuracies, or omissions relating to product descriptions, pricing, promotions, offers, shipping charges, transit times, or availability. We reserve the right to correct errors or omissions, and to change or update information or cancel orders if any information is inaccurate, at any time and without prior notice (including after you submit an order).

14) Warranty Disclaimer

Unless expressly stated by Haru, the Services and all products offered through the Services are provided “as is” and “as available,” without representations, warranties, or conditions of any kind, whether express or implied, including implied warranties of merchantability, merchantable quality, fitness for a particular purpose, durability, title, and non-infringement. We do not warrant that the Services will be uninterrupted, timely, secure, or error-free, or that defects will be corrected. Some jurisdictions do not allow limitations on implied warranties, so the foregoing may not apply to you to the extent prohibited by law.

15) Limitation of Liability

To the maximum extent permitted by law, in no event will Haru, our affiliates, partners, officers, directors, employees, agents, contractors, service providers, suppliers, or licensors—or Shopify and its affiliates—be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, savings, data, or replacement costs, arising out of or related to your use of the Services or any products, whether based in contract, tort (including negligence), strict liability, or otherwise, even if advised of the possibility of such damages. Our total aggregate liability for any claim will not exceed the amount you paid to Haru for the product giving rise to the claim in the twelve (12) months preceding the event.

16) Indemnification

You agree to indemnify, defend, and hold harmless Haru, Shopify, and their respective affiliates, partners, officers, directors, employees, agents, contractors, licensors, and service providers from any claim, demand, loss, liability, damages, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to (1) your breach of these Terms or referenced policies, (2) your violation of any law or third-party right, or (3) your access to or use of the Services. We will notify you of any claim subject to indemnification; our failure to promptly notify will not relieve your obligations unless materially prejudicial. We may control the defense and settlement at your expense and will not agree to non-monetary obligations on you without your consent (not to be unreasonably withheld).

17) Compliance; Export; Sanctions

You agree to comply with all applicable import, export, and sanctions laws and regulations. You represent that you are not located in, under the control of, or a national or resident of any country or party embargoed or sanctioned by relevant authorities.

18) Dispute Resolution and Governing Law

These Terms and any separate agreements whereby we provide you Services are governed by the laws of the State of California, USA, without regard to conflict-of-law rules, and subject to the mandatory consumer-protection laws of your country of residence where applicable. You and Haru submit to the exclusive jurisdiction and venue of the state and federal courts located in San Francisco, California, for any dispute not subject to arbitration and waive objections to jurisdiction and venue.

Arbitration for U.S. residents. At either party’s election, any claim or dispute arising out of or relating to these Terms or the Services will be resolved by binding individual arbitration before the American Arbitration Association under its Consumer Arbitration Rules. Class actions and jury trials are waived. This clause does not apply where prohibited by law (for example, certain EU/UK consumer contexts). You may opt out within 30 days of first acceptance by emailing haru.us@use.startmail.com with subject “Arbitration Opt-Out.”

19) Termination

We may terminate these Terms or suspend/terminate your access to the Services at any time, with or without notice, for any reason. Your obligations and our rights that by their nature should survive (including Intellectual Property, Warranty Disclaimer, Limitation of Liability, Indemnification, Governing Law, and Dispute Resolution) will survive termination.

20) Assignment

You may not assign, transfer, or delegate these Terms or your rights or obligations without our prior written consent; any attempted assignment is void. We may assign or transfer these Terms without your consent.

21) Severability

If any provision is found unlawful, void, or unenforceable, that provision will be enforced to the maximum extent permitted, and the remaining provisions will remain in full force and effect.

22) Waiver

Our failure to exercise or enforce any right or provision shall not constitute a waiver of such right or provision.

23) Entire Agreement; Interpretation; Electronic Communications

These Terms, together with policies posted on the website (including the Privacy Policy, Returns & Refunds Policy at www.myharu.shop/policies/refund-policy, and Shipping Policy at www.myharu.shop/policies/shipping-policy), constitute the entire agreement between you and Haru regarding the Services and supersede all prior or contemporaneous communications. Headings are for convenience only and do not affect interpretation. You consent to receive notices and disclosures electronically.

24) Changes to These Terms

You can review the most current version of these Terms at any time on this page. We may update or modify these Terms by posting changes on the website. We will provide notice of material changes as required by law, and changes take effect on the date specified in the notice. Your continued use of the Services after changes become effective constitutes acceptance.
